1. RELEASE AND WAIVER OF RIGHTS
By signing this agreement, I hereby grant Podlot Studios LTD, its affiliates, successors, and assigns, the irrevocable and unrestricted right to use, reproduce, publish, broadcast, distribute, modify, edit, and create derivative works from any recordings, photographs, videos, audio files, or any other media content captured during my time at Podlot Studios (collectively, the "Content"). This grant includes, but is not limited to, use in podcasts, promotional materials, social media, advertisements, and any other platforms or mediums, whether now known or hereafter devised, without any requirement for further consent, notification, or compensation.
2. INTELLECTUAL PROPERTY
I acknowledge and agree that all Content created during my visit becomes the exclusive property of Podlot Studios LTD. I waive any rights I may have to inspect or approve the finished Content or the use to which it may be applied. I release and discharge Podlot Studios LTD from any and all claims arising out of or related to any distortion, blurring, alteration, or use in composite form of the Content.
3. NON-DISCLOSURE AGREEMENT (CONFIDENTIALITY)
IMPORTANT - STUDIO LOCATION CONFIDENTIALITY: I understand and agree that the location of Podlot Studios is strictly confidential information. I agree NOT to disclose, share, publish, or communicate the studio address or any information that could lead to identification of the studio location to any person who is not an existing Podlot client, whether online (including but not limited to social media, forums, review sites, or messaging platforms) or in person. This confidentiality obligation is designed to protect the studio, its equipment, staff, and clients from potential malicious acts, theft, or security breaches. Breach of this confidentiality clause will result in immediate termination of any ongoing agreements and may result in legal action to recover damages.
4. EQUIPMENT AND FACILITY RESPONSIBILITY
DAMAGE AND LOSS POLICY: I understand that Podlot Studios contains professional recording equipment and facilities of significant value. I agree to handle all equipment with reasonable care and only as instructed by Podlot staff; report any damage, malfunction, or incident immediately to Podlot staff; accept full financial responsibility for any damage to or loss of equipment, furnishings, or facilities caused by my negligent, reckless, or intentional actions; and, where damage occurs, pay the full replacement cost or repair cost at Podlot Studios' discretion.
The account holder who booked the session accepts joint and several liability for any damages caused by their guests. Any breach must be ratified, and damages or losses rectified either by the guest or the account holder as agreed between them, with ultimate responsibility resting with the account holder if no resolution is reached.
5. CONDUCT AND BEHAVIOUR POLICY
ZERO TOLERANCE POLICY: Podlot Studios maintains a zero tolerance policy for any racist, discriminatory, defamatory, threatening, harassing, or antisocial behaviour. This includes but is not limited to racist, sexist, homophobic, or otherwise discriminatory language or actions; defamatory statements about individuals or organisations; threatening, intimidating, or harassing behaviour towards staff or other clients; vandalism or intentional damage to property; and any illegal activity on the premises.
CONSEQUENCES: Any such conduct will be considered an immediate and material breach of this agreement, resulting in immediate termination of the recording session, mandatory takedown and deletion of the affected episode/content, no refund of any fees paid, permanent ban from Podlot Studios facilities, and potential legal action if warranted.
6. LIABILITY LIMITATION
I agree to release, indemnify, and hold harmless Podlot Studios LTD, its owners, directors, employees, and agents from any and all claims, demands, losses, damages, or liability arising from my use of the studio facilities, except where such claims arise from Podlot Studios' gross negligence or wilful misconduct. I understand that I use the facilities at my own risk and that Podlot Studios is not responsible for any personal injury or loss of personal property unless directly caused by Podlot's negligence.
7. DURATION AND SCOPE
This agreement applies to each and every visit I make to Podlot Studios throughout the account holder's contract term. By signing once, I agree to be bound by these terms for all subsequent visits without the need to sign again, unless notified of material changes to this agreement.
8. GOVERNING LAW
This agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
9. SEVERABILITY
If any provision of this agreement is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
10. ACKNOWLEDGEMENT
I confirm that I have read, understood, and agree to all terms and conditions set forth in this agreement. I understand this is a legally binding document and that I am signing voluntarily with full knowledge of its implications.
